These Terms and Conditions ("Terms") govern the use of services provided by BluStaff Outsourcing, doing business as Greymatter Solutions Employment Agent ("the Company," "we," "our," or "us"). By engaging our services, you ("Client" or "you") agree to be bound by these Terms. If you do not agree, you must refrain from using our services.

1. Scope of Services

We provide outsourcing, recruitment, payroll, employee management, and related employment services in accordance with Philippine labor laws and applicable regulations. Specific deliverables, timelines, and responsibilities will be outlined in a separate written agreement or service contract.

2. Engagement & Agreement

A formal contract will be executed prior to the commencement of any services. This contract will detail the scope of work, rates, payment terms, and any other obligations agreed upon by both parties. No engagement shall be deemed valid without a signed contract.

3. Compliance with Laws

We comply with all applicable Philippine labor, tax, and business regulations. Clients are responsible for ensuring their requests or work assignments comply with relevant laws in their jurisdiction. The Company will not engage in or facilitate any illegal or unethical activity.

4. Payment Terms

Invoices will be issued as agreed in the service contract. Payment must be made in the specified currency and within the agreed-upon time frame. Late payments may be subject to penalties or suspension of services.

5. Client Obligations

The Client agrees to:

Provide accurate and complete information for recruitment and employment processing.
Supply necessary tools, materials, or software if required for the completion of tasks.
Communicate promptly and professionally with the Company.

6. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of the engagement. This obligation shall survive the termination of the agreement.

7. Data Privacy

We process personal information in compliance with the Philippine Data Privacy Act of 2012 and applicable privacy laws. By using our services, you consent to the collection, use, and storage of necessary personal data for lawful purposes related to our services.

8. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall be limited to the amount paid by the Client for the specific service in question.

9. Termination of Services

Either party may terminate the service agreement with written notice as specified in the contract. Outstanding payments, obligations, and confidentiality provisions shall survive the termination.
